Terms of Service

Effective date: July 22, 2026. These Terms of Service ("Terms") govern your access to and use of the services provided by MernaPay LLC ("MernaPay," "we," "us," or "our").

By creating an account or using MernaPay, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility and account registration

You must be at least 18 years old and capable of entering into a binding agreement to use MernaPay. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

2. The Services

MernaPay provides a digital wallet platform that allows you to fund a balance, create virtual cards, track activity, and access related features through a web dashboard. Features may change over time as we improve the platform.

MernaPay is not a bank. Balances displayed in your account represent available funds within the MernaPay platform subject to these Terms and applicable program rules.

3. Virtual cards

Virtual cards issued through MernaPay are intended for online purchases and authorized use cases described in your account. You may create multiple virtual cards subject to applicable fees, balance requirements, and account limits.

  • You may freeze or unfreeze cards from your dashboard at any time.
  • Card creation may incur a fee deducted from your available balance.
  • Card payments are debited from your wallet balance when processed.
  • You must not use virtual cards for unlawful, fraudulent, or prohibited activities.

4. Deposits and wallet balance

You may fund your wallet using supported deposit methods shown in your dashboard. Deposits are subject to network confirmation times, minimum amounts, and manual or automated review processes as described in the platform.

MernaPay may decline or reverse deposits that appear fraudulent, non-compliant, or inconsistent with these Terms.

5. Cashback program

MernaPay may offer cashback on eligible card purchases. Unless otherwise stated, cashback applies at a rate of 2% on qualifying card spend once your eligible monthly card spending reaches $2,000.

  • Cashback is calculated on eligible card purchases above the monthly threshold.
  • Certain transaction types, fees, or merchants may be excluded.
  • Cashback credits are applied according to the program schedule and may be adjusted or discontinued with notice.
  • Cashback is not guaranteed and is subject to verification of qualifying spend.

Program details, exclusions, and credit timing are determined by MernaPay and may be updated from time to time. Continued use of the Services after updates constitutes acceptance.

6. Acceptable use

You agree not to:

  • Use the Services for illegal activities or to violate any applicable law or regulation;
  • Attempt to gain unauthorized access to accounts, systems, or data;
  • Provide false, misleading, or fraudulent information;
  • Use the Services to launder money, evade sanctions, or facilitate fraud;
  • Interfere with or disrupt the integrity or performance of the platform;
  • Reverse engineer or attempt to extract source code except as permitted by law.

We may suspend or terminate accounts that violate acceptable use standards or pose a risk to MernaPay or other users.

7. Fees

Certain actions may incur fees, including but not limited to virtual card creation. Applicable fees are displayed in your dashboard before you confirm an action. By proceeding, you authorize MernaPay to deduct applicable fees from your available balance.

8. Refunds

Deposits and card transactions are generally final once processed. Refund requests are evaluated on a case-by-case basis. If you believe a transaction was made in error, contact support promptly with relevant details. MernaPay is not responsible for losses resulting from user error, unauthorized access due to compromised credentials, or third-party merchant disputes outside our control.

9. Suspension and termination

We may suspend or terminate your account at any time if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a compliance or security risk. You may close your account by contacting support, subject to settlement of outstanding obligations.

Upon termination, your right to access the Services ends. Provisions that by their nature should survive termination will remain in effect.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERNAPAY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO MERNAPAY IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Indemnification

You agree to indemnify and hold harmless MernaPay LLC from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

13. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Disputes shall be resolved in the courts located in Delaware, unless otherwise required by applicable law.

14. Changes to these Terms

We may modify these Terms at any time by posting an updated version on this page. Material changes may also be communicated through the platform or by email. Your continued use after changes become effective constitutes acceptance.
